Your subscription will continue and automatically renew unless canceled. You consent to recurring charges to your payment method. The billing cycle is annual. You can cancel at any time by contacting us, and cancellation will take effect at the end of the current term.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or content to compile a database or directory without written permission.
  • Tricking, defrauding, or misleading us and other users.
  • Circumventing, disabling, or interfering with security-related features of the Services.
  • Disparaging, tarnishing, or otherwise harming us and/or the Services.
  • Using the Services in a manner inconsistent with any applicable laws or regulations.
  • Uploading or transmitting viruses, Trojan horses, or other disruptive material.
  • Deciphering, decompiling, disassembling, or reverse engineering any software.

8. USER GENERATED CONTRIBUTIONS

The Services do not offer users the ability to submit or post public content. However, we may receive or review feedback, suggestions, or comments ("Submissions") provided by you. By sending us Submissions, you agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose without compensation.

9. CONTRIBUTION LICENSE

We do not assert ownership over your contributions or feedback. You retain full ownership. However, you grant us a license to process and use the information following our Privacy Policy.

10. SERVICES MANAGEMENT

We reserve the right to monitor the Services for violations, take legal action against violators, refuse or restrict access to the Services, manage files to protect our systems, and facilitate proper functioning of the Services.

15. DISPUTE RESOLUTION

Informal Negotiations: To expedite resolution, the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration: Any dispute will be resolved exclusively by binding arbitration under Commercial Arbitration Rules of the AAA in Dallas, Texas. Application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

16. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and change or update information without prior notice.

17. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE ASSUME NO LIABILITY FOR ERRORS, INACCURACIES, PERSONAL INJURY, UNAUTHORIZED ACCESS TO SERVERS, INTERRUPTIONS, OR VIRUSES.

18. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT OR LOSS OF DATA. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, or claim (including reasonable attorneys' fees) arising out of: (1) use of the Services; (2) breach of these Legal Terms; (3) breach of your representations; or (4) violation of third-party rights.

We maintain certain data you transmit for managing performance, but you are solely responsible for all data that relates to your activities. We have no liability to you for any loss or corruption of such data.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending emails, and completing forms constitute electronic communications. You consent to receive electronic communications, and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
